Welcome to Synq Entertainment Private Limited ("Synq", "we", "our", or "us").   • "Host" refers to individuals or organizations that create and manage Events on our platform.
  • "Platform" refers to website, mobile applications, and web applications.

3. Use of Services

3.1 Eligibility

Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 are not eligible to use/access the Platform. However, if you are a minor, i.e. under the age of 18 years, you may use/access the Platform under the supervision of an adult parent or legal guardian who is “competent to contract” and agrees to be bound by these Terms.

If you are using the Platform on behalf of any person/ entity, you represent and warrant that you are authorized to accept these Terms on behalf of such person/ entity. Further, you and such person/ entity agree to be jointly, severally liable and indemnify us for violations of these Terms.

You agree to use the Services only in compliance with these Terms and applicable laws, and in a manner that does not violate our legal rights or those of any third party(ies).

All users must register and log in for making transactions on the Platform. You must keep your account and registration details current and correct for receiving all communications from the Platform. By agreeing to the Terms, you agree to receive promotional, transactional, commercial or other communications, and newsletters from us. You can opt out from such communications and/or newsletters by using the opt out options as available in such communications. You can also change your notification preferences as available in your profile section of the Platform.

As part of the registration process on the Platform, access and usage thereof, we may collect your personally identifiable information/ preferences, including your name, email address, age, address, mobile phone number, and other contact details, demographic profile (like your gender, occupation, education etc.) and information about the pages on the Platform you visit/access, the links you click on the Platform, the number of times you access a particular page/feature etc. Processing of such information so collected will be done in compliance with the Privacy Policy.

Hosts are responsible for creating and managing their Events, including providing accurate descriptions, ensuring the safety and quality of the event, and complying with all applicable laws and regulations.

4.2 Participation

Users participating in Events agree to adhere to the rules and guidelines set by the Host. Synq is not responsible for the conduct of Hosts or the quality of the Events.

4.3 Fees

Synq may charge fees for certain Services. Fees will be communicated to you and are subject to change.

5. Payments

5.1 Payment Processing

Payments for Events and other Services are processed through third-party payment processors. By making a payment, you agree to the terms and conditions of the payment processor.

5.2 Refunds

Refund policies are determined by Synq and are subject to our specific terms. Synq is not responsible for handling disputes between Users and Hosts.

6. Intellectual Property

6.1 Ownership

All content and materials provided through our Services, including but not limited to text, graphics, logos, and software, are owned by Synq or its licensors and are protected by intellectual property laws.

6.2 License

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for personal and non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.

7. Disclaimers and Limitation of Liability

Our Services are provided "as is" and "as available" without warranties of any kind. Synq does not guarantee the accuracy, completeness, or reliability of any content or Events.

7.2 Limitation of Liability

To the fullest extent permitted by law, Synq and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of our Services.

8. Customer Relationship Management

8.1

All issues, opinions, suggestions, questions, and feedback while availing our Services can be communicated to us via several modes such as self-serve app or website or email. After completion of the Lesson, you are entitled to give a suitable rating for the service and Lesson. You agree to be fair, accurate, and non-disparaging while leaving comments, feedback, testimonials, or reviews on or about the Lessons or Services.

8.2

Reporting of any issue needs to be within 07 (seven) days of the happening of the issue, failing which, such issue will not be addressed.

8.3

Any issue reported on channels other than the above may be addressed by us only on a best-effort basis. We take no liability for the inability to get back on other channels.

8.4

We shall endeavour to respond to Your issues within 2 (two) working days of Your reporting the same and endeavour to resolve it at the earliest possible. It is hereby clarified that issues are resolved on a severity basis.

9. Indemnification

By accepting these User Terms and using the Service, You agree that You shall defend, indemnify, and hold Synq, its affiliates, their licensors, and each of itsofficers, directors, other users, employees, attorneys, and agents harmless from and against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) arising out of or in connection with:

  • (a) Your violation or breach of any term of these User Terms or any Applicable Law or regulation, whether or not referenced herein;
  • (b) Your violation of any rights of any third party, including the TPSPs; or
  • (c) Your use or misuse of the Application or Service.

10. Termination

10.1 Termination by Synq

We may suspend or terminate your access to our Services at any time, with or without cause, if we believe you have violated these Terms or engaged in any unlawful or harmful behaviour.

10.2 Termination by You

You may terminate your account at any time by contacting us or using the account management features provided in our Services.

11. Changes to Terms

Synq reserves the right, at its sole discretion, to modify or replace, in part or full, any of these User Terms, or change, suspend, block, discontinue, or restrict your use of any or all features of the Service or Application at any time. Synq shall not be required to notify You of any changes made to these User Terms. The revised User Terms shall be made available on the Site. You are requested to regularly visit the Site to view the most current User Terms. You can determine when Synq last modified the User Terms by referring to the “Last Updated” at the top of the page. It shall be Your responsibility to check these User Terms periodically for changes. Synq may require You to provide Your consent to the updated User Terms in a specified manner prior to any further use of the Site and the Services. If no such separate consent is sought, Your continued use of the Site, following the changes to the User Terms, will constitute Your acceptance of those changes. 12. Governing Law

These Terms will be governed by and construed in accordance with the laws India and the courts of Rudrapur, Uttarakhand will have exclusive jurisdiction.

13. Dispute Resolution

These User Terms are subject to the laws of India. Any dispute, claim, or controversy arising out of or relating to these User Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Site, the Service, or the Application (collectively, “Disputes”) the parties shall attempt to settle the same amicably, through negotiation and consultation at such offices of Synq as Synq may designate. In the event, the dispute is not resolved internally between You and Synq after at least 30 (thirty) days of negotiation, in good faith, the same shall be subject to binding and final arbitration in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time or in case the Arbitration and Conciliation Act, 1996 is no longer in force, as per any law relating to arbitration in force at the time of such reference. The reference shall be made to a sole arbitrator mutually appointed by Synq and You. The place of the arbitration shall be Rudrapur, Uttarakhand, unless otherwise mutually agreed by Synq and You in writing. Subject to the above, any Dispute will be subject to the exclusive jurisdiction of courts in Rudrapur, India.

15. Miscellaneous

These Terms constitute the entire agreement between you and Synq regarding the use of our Services and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Assignment

Synq may assign these Terms and its rights and obligations hereunder to any successor or affiliate. You may not assign these Terms without our prior written consent.

Synq may give notice by means of a general notice on the Service or Application, or by electronic mail to Your registered email address or a message on Your registered mobile number, or by written communication sent by regular mail to Your address on record in Synq’s account information.

You agree not to upload, post, transmit, or share any content on our Platform that is illegal, harmful, abusive, harassing, defamatory, obscene, hateful, or otherwise objectionable. Synq reserves the right, but does not assume the obligation, to monitor interactions on our Platform. We also reserve the right to take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of our Platform.

We will review all reports promptly and take appropriate action.

16.4 No Liability for Objectionable Content

Synq is not responsible or liable for any content posted, stored, or uploaded by you or any third party, or for any loss or damage thereto. While we strive to maintain a safe and welcoming environment, you use our Platform at your own risk.

17. Media Release and License

By attending or hosting any event for which an invitation was received or extended via the Synq app, the User expressly grants Synq, its affiliates, and partners aperpetual, worldwide, royalty-free, and irrevocable license to capture, use, reproduce, modify, distribute, and display in any media, now known or hereafter devised, any photographs, videos, or other media featuring the User recorded at the event, for purposes including but not limited to marketing, advertising, promotional activities, research, and commercial use, without further notice, consent, or compensation.
